How it plays out on a deal
An eager bidder can flood a seller with questions, some of them strategic rather than necessary. Quotas, usually announced in the process letter, force bidders to prioritize and protect the seller's small team from being overwhelmed.
A room that enforces quotas itself saves the coordinator from counting. Useful options include separate limits per round, a priority flag bidders can use sparingly, and a clear display to the bidder of how many questions remain.
What to check in a review or demo
- 1Whether limits can be set per bidder group and per round.
- 2Whether bidders can see how many questions they have left.
- 3Whether administrators can grant extra questions to one group without changing others.

- Q&A workflowA module that replaces the question spreadsheet: bidders raise points from inside the room, the seller's experts draft replies, someone approves them, and every thread stays linked to the file that prompted it.
- Process letterA letter sent by the seller's adviser to bidders that sets the rules and deadlines of a sale process, including what an offer must contain and how questions are handled.
- Controlled auctionA sale process in which an adviser runs several qualified bidders through the same staged timetable, usually with first and second round offers, to create competition on price and terms.
