How we reviewed iDeals
This review is desk research, scored against the same rules we apply to every provider. We read iDeals’ product documentation and security pages, looked at how it sells (quote on request, with a free trial), and checked each item of our twelve-feature checklist against the facts we hold on the vendor. Those facts are simple: founded in 2008, headquartered in the United Kingdom, cloud deployment, with SOC 2, ISO 27001 and GDPR listed among its credentials. The six criterion scores are editorial judgments built from that material, weighted as described on our method page.
What we do not claim is a timed setup or a staged auction. Because iDeals offers a free trial, you can run those checks yourself, and the last sections of this review set out what to look at.
Running a live process in iDeals
Deal workflow scores 9.5, which puts iDeals level with the best rooms we review. The building blocks a contested sale needs are all native: a Q&A module, granular permission groups, bulk upload of folder trees and a full audit trail. The Q&A design described in the vendor’s material is the classic routing model: a question arrives tied to a document, is passed to the right specialist on the sell side, gets approved and goes back only to the party that asked. For an adviser managing several bidders at once, that separation is the property that matters most, and it is the first thing worth confirming in the trial.
What iDeals does not include on our checklist is native e-signature or AI features. For a traditional auction run by advisers this rarely blocks anything, because signing usually happens in a separate tool after the documents are agreed. Teams used to drafting summaries or searching across a room with AI assistance will notice the absence, and they should decide early whether that work happens outside the room and under what controls.
Security credentials
With a security score of 9.6, iDeals shares the top mark in this category. The certification set is the strongest reason to shortlist it: SOC 2 and ISO 27001 both appear, with GDPR listed as well. Access can run through single sign-on, which keeps a corporate buyer’s IT team comfortable, and two-factor login covers external users.
Document control is thorough on paper and on our checklist. Dynamic watermarks stamp each viewer’s details on the page, document rights control is designed to stop printing and downloading after a file opens, and the built-in redaction tool means personal data in an employment agreement can be blacked out inside the room rather than in a separate application. The audit trail records views, downloads and permission changes, which is what a seller’s counsel will want to export at the end.
Why redaction matters here
In a carve-out or any deal with employee files, built-in redaction saves a step that otherwise sits with the legal team before upload. iDeals is one of the few rooms in our top five that includes it natively.
Day-to-day usability
Usability scores 8.5. The product is clearly organized, but it exposes more settings than the newest rooms, and the more detailed permission rules are the kind of thing an administrator learns from the documentation rather than by instinct. That is the main reason for the deduction. For invited reviewers the picture is simpler: their job is to open the index, search and read, and the guest side asks much less of them than the admin side asks of the seller. There is no native mobile app; a phone browser is the fallback, which matters if senior people on the buy side review late in the process from their phones.
Pricing in practice
iDeals does not publish a price, so its pricing clarity score is 8.8 rather than at the top of the range. The deduction is for the fact that you cannot model the cost before talking to sales; once a quote is in hand, a fixed scope and term make the bill predictable.

Scoping the quote so it can be compared
A quote is only useful if it can sit next to another one. Before you ask, write down four numbers: how many people will need access across all parties, a realistic estimate of document volume, the number of months you expect the room to stay live, and how long the archive must remain available after closing. Send exactly the same scope to every vendor on your shortlist. Then ask each one to separate the base fee from anything that changes if the deal slips, such as extra months or extra storage. A low headline figure with an expensive extension can end up costing more than a higher quote with a generous term.
Support and onboarding
Service quality is where iDeals stands out most clearly, with a 9.7 that no other provider in our ranking matches. Support is one of the focus areas in our records for iDeals, and the score reflects that emphasis. Ask for the support hours and response commitments in writing, since a written answer is what you can hold a vendor to. If your team is new to running a data room, or your process spans many time zones, that level of support has real value. It is also the part of the product you can judge most directly during the free trial by contacting the desk with a real question.
The trade-offs
There are three to weigh. First, cost is invisible until you ask, which makes early budgeting harder. Second, the feature checklist has holes in the modern layer: no AI features, no e-signature and no mobile app. Third, admin usability is good rather than effortless. None of these weaken the core security and workflow, which are as strong as anything we score.
A typical iDeals deal, start to finish
Picture a private equity sponsor selling a portfolio company to a field of six or seven buyers. In week one the sell-side adviser builds the index and loads the vendor due diligence reports. Each bidder gets its own permission group, with the most sensitive commercial files held back until the second round. Questions start arriving in the second week, and this is where the routing flow earns its place: a tax question goes to the tax adviser, a customer question to the commercial lead, and nothing is released without sign-off. By the final round only two bidders remain, so the adviser opens the restricted folders to them alone, redacting personal data in the employee schedules inside the room. When the deal signs, the archive becomes the record both sides keep.

Passing the buyer’s IT review
For a corporate acquirer or a regulated seller, the room often has to clear an information security review before anyone uploads a file. This is where iDeals tends to save time. ISO 27001 and SOC 2 answer the two certification questions that appear on almost every vendor questionnaire, single sign-on lets the buyer keep its own identity policy in force, and a public API means an IT team can connect the room to internal systems instead of treating it as a stand-alone island. Prepare for that review by requesting the current SOC 2 report and the ISO certificate early, along with the vendor’s statement on where data is hosted and how long it is retained after the room closes. Having those documents on file before the deal starts removes a common source of delay in week one.
Working around the missing pieces
The gaps on the checklist have practical workarounds, and it helps to plan them rather than discover them mid-process. Without native e-signature, NDAs and process letters are typically signed in a separate signing tool, with the executed copy uploaded back into the room so the index stays the single record. Without AI features, summarizing a large folder or drafting answers to repeated questions stays manual; if your team wants to use an outside AI service, agree beforehand which documents may leave the room and who approves that, because exporting files weakens the controls you are paying for. Without a mobile app, check that the browser view works for the reviewers who matter most, usually partners and senior buyers reading outside office hours.
