When an owner-managed company is sold, the buyer’s accountants and lawyers bring the same request list they would bring to a much bigger business: three years of accounts, customer contracts, employee terms, leases, IP, tax filings. What changes is who answers. Often it is the owner, the finance manager and an external accountant, working evenings around the day job.

Mistakes owners make

Waiting until a buyer asks is the big one. Pulling documents together under a buyer’s deadline is stressful and leads to gaps. Build the room as soon as you decide to sell, even if no buyer is in sight.

Another is answering questions by phone. It feels faster, but nothing is recorded, and later disputes over what was disclosed become word against word. Use the Q&A module or at least confirm answers in writing inside the room.

A third is giving the buyer download rights on everything. Customer lists and pricing are commercially sensitive. Keep them view-only until exclusivity is agreed.

Talk to your accountant first

Your accountant may already have a preferred structure for the financial folders. Agree it before you upload, so the buyer’s accountants find what they expect.
