Why property is different
A company sale is organised by topic: finance, legal, HR, IT. A real estate deal is organised by asset. A portfolio of forty logistics sites means forty folders, each with title documents, leases, surveys, environmental reports, building plans and service charge accounts. Many of those files are scanned drawings or large PDFs, and buyers’ surveyors want them quickly.
Bidders also differ by asset. In a portfolio sale, one investor may be interested in the whole book while another only wants the northern sites. The room must open and close access at asset level without rebuilding the structure for each bidder.

Mistakes in property data rooms
Uploading scans with meaningless file names is the most common problem. A buyer cannot search for “Unit 4 lease” if the file is called “scan_00231.pdf”. Rename before upload, or use an index that maps names to assets.
The second is publishing tenant personal data without thought. Residential tenancy files can contain names, contact details and payment histories. Redact or withhold them unless a buyer genuinely needs them at that stage.
The third is closing the room before completion. Post-exchange questions about service charge reconciliation or arrears are common, so keep access open until the money has moved.
