How it plays out on a deal
Numbering looks cosmetic until a deal team is citing documents in hundreds of questions and in a disclosure schedule. If numbers are typed by hand, they drift. If the room renumbers everything after every change, citations break. Both are real problems.
The better implementations let the administrator choose: live numbering while the room is being built, then a freeze once bidders are in, so a reference made on Monday still points at the same file on Friday. Ask how a vendor handles that switch, because the answer reveals how often its users run real auctions.
What to check in a review or demo
- 1Whether numbering can be frozen once the room opens to outside parties.
- 2Whether index numbers appear in the Q&A tool and in exported reports.
- 3Whether moving one folder renumbers only that branch or the whole room.
Read alongside
- Data room indexThe numbered table of contents of a data room, listing every folder and document with a reference number such as 3.2.4, so readers and lawyers can cite files precisely.
- Disclosure scheduleThe attachment to a purchase agreement in which the seller lists exceptions to its representations and warranties, often by referencing documents placed in the data room.
- Folder hierarchyThe nested folder layout of a data room, usually organized by workstream such as corporate, financial, legal, commercial, HR, IT and tax.
