How it plays out on a deal
In a sale or fundraise the NDA comes before almost everything else. It sets what counts as confidential, how long the duty lasts, whether the recipient may contact employees or customers, and what happens to copies if talks end. Many also include a non-solicitation clause.
Data rooms connect to the NDA in two ways. Some can collect the signature themselves through built-in or integrated e-signature, and many can show a click-through acknowledgment on first login. Neither replaces the signed agreement, but both create a time-stamped record that the reader saw the terms before opening anything.
What to check in a review or demo
